1 The Agency will provide services as agreed upon in the signed proposal or statement of work.

2 The Client acknowledges that the Agency will require a 60% advance payment of the total project cost before commencing work.

3.The Client is entitled to a maximum of five (5) revisions per project. Each revision must be communicated in writing and include specific details about the requested changes.

4.Additional revisions beyond the agreed-upon limit may be subject to additional charges, which will be communicated to the Client in advance.

5 The Client shall make a 50% advance payment of the total project cost upon the signing of this Agreement.

6 The remaining 40% of the project cost shall be paid upon completion of the project and prior to the release of deliverables to the Client.

7 Payment shall be made in the currency specified in the invoice issued by the Agency.

8 Late payments may incur interest at a rate of _________ per month or the maximum allowable rate under applicable law, whichever is lower.

9. The Client may cancel the project at any time, but the advance payment is non-refundable.

10. If the Client cancels the project after work has commenced but before completion, the Client shall be liable for payment for the work completed up to that point.

11 Both the Agency and the Client agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of the project.

12 The Agency can use the project as part of its portfolio.

13. Either party may terminate this Agreement with written notice if the other party breaches any material term or condition of this Agreement.

14. The Agency shall not be liable for any indirect, consequential, or incidental damages, including but not limited to lost profits, arising out of or related to this Agreement or the services provided.

15. Agreement shall be governed by and construed in accordance with the laws of Constitution of the People’s Republic of Bangladesh.
